By using our services, you confirm that you are legally capable of entering into a binding agreement.

We reserve the right to update or modify these Terms at any time. Continued use of our services indicates acceptance of the updated Terms.

3. Scope of Services

We provide multiple services to help businesses build their digital presence. Each service is subject to specific terms as mentioned below:

4. Web Development Services

  • Domain registration and hosting setup
  • UI/UX and website design
  • Front-end and back-end development
  • Content integration
  • Search Engine Optimization (SEO) setup
  • Maintenance & support

4.1 Hosting & Domain

  • Clients may provide their own hosting/domain or opt for hosting through our partnered providers.
  • If hosting is provided through us, the client agrees to our hosting partner’s terms and renewal charges.
  • Clients are responsible for renewing their domain/hosting on time. We are not liable for expired domains or hosting downtime.

4.2 Development Timeline

  • Project timelines will be mutually decided and communicated via email or written agreement.
  • Delays caused due to delayed inputs from the client may result in extended delivery time.

4.3 Maintenance & Updates

  • Maintenance is a separate service and not included in the base development cost unless clearly stated.
  • Any post-launch changes or issues caused by third-party interference are chargeable.

4.4 Content & Responsibility

  • Clients must provide accurate and original content for the website.
  • We are not responsible for legal or copyright violations related to client-provided content.

4.5 Ownership & Access

  • Full ownership of the final website is transferred upon full payment.
  • Until full payment is received, all designs, codes, and content remain the property of Deepak Marketing Agency.
  • Clients are advised to change all credentials post-handover for security purposes.

5. Designing & Creative Work

  • Branding and logo design
  • Product catalogues
  • Posters, social media creatives, brochures, banners

5.1 Intellectual Property

  • All creative work remains the property of Deepak Marketing Agency until full payment is received.
  • After payment, final deliverables are transferred to the client, but we may use them in our portfolio unless requested otherwise.

5.2 Revisions

  • We offer a fixed number of revisions as agreed in the project scope. Additional revisions are chargeable.

6. Product Shoots & Content Creation

6.1 Shoot Deliverables

  • Raw files and edited photos/videos are delivered as per the project agreement.
  • Any additional editing or format requests are subject to extra charges.

6.2 Usage Rights

  • Full rights are transferred to the client after final payment.
  • We retain the right to use non-sensitive content for portfolio and marketing purposes unless the client opts out.

6.3 Liability

  • We are not liable for damage, loss, or misuse of products during shoots unless caused by proven negligence from our side.

7. Social Media Handling & Ads Management

7.1 Account Access

  • Clients must provide necessary access or grant admin rights to required platforms (Instagram, Facebook, Google, etc.) to execute campaigns.
  • All credentials shared are treated with confidentiality.

7.2 Campaign Management

  • We create and manage campaigns as per strategy shared with the client.
  • Ad budgets are paid directly by the client to the platform unless otherwise agreed.

7.3 Performance

  • While we strive for optimal results, no specific leads, conversions, or reach guarantees are provided.
  • Client cooperation in content approval and timely inputs is essential for campaign success.

8. Digital Business Account Setup & Google Services

  • We help clients set up Google My Business accounts, ad accounts, and other digital platforms.
  • The final ownership and control of the account always remain with the client.
  • Clients are advised to change credentials after setup.
  • We are not liable for any policy violations, suspensions, or penalties by third-party platforms.

9. Influencer & Campaign Management

9.1 Listings

  • Influencer details listed on our website are either shared with consent or sourced from public information.
  • Influencers can request to update or remove their listing at any time.

9.2 Campaigns

  • We connect brands and influencers for collaboration opportunities.
  • We are not responsible for the final performance, legal disputes, or agreements between the influencer and brand beyond our service scope.

9.3 Data Protection

  • Personal contact details of influencers are not shared publicly without consent.
  • Collaborations are managed through proper communication channels.

10. Payments, Pricing & Refund Policy

  • All pricing will be shared clearly before project initiation.
  • Payments must be made in accordance with the agreed schedule.
  • Work may be paused or terminated if payment deadlines are not met.
  • No refunds are provided once a service has been initiated, unless agreed otherwise in writing.
  • Final deliverables are handed over only after full and final payment.

11. Confidentiality & Data Handling

  • All client credentials and sensitive information are handled with professional confidentiality.
  • Data is deleted from our systems once the project is completed.
  • Clients are advised to change their credentials after handover.
  • We are not liable for misuse caused by third parties or security breaches beyond our control.

12. Limitation of Liability

  • We are not responsible for:
    • Losses due to platform policy violations or technical downtime.
    • Missed deadlines due to client delays.
    • External damages caused by third-party platforms.
  • Our total liability is limited to the amount paid by the client for the specific service.

13. Intellectual Property & Portfolio Rights

  • We may showcase completed work, non-confidential deliverables, and campaign highlights as part of our portfolio on www.withdeepak.com or our marketing channels.
  • Clients can request removal of their listing in writing.

14. Termination of Services

  • Either party may terminate the agreement with written notice if the other party fails to comply with terms.
  • Upon termination, any outstanding payments must be cleared, and deliverables will be shared as per the status of work.

15. Governing Law & Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [Your City/State], India.
